Introduction
Unless otherwise agreed in writing by the Seller, these terms and conditions of sale shall override any terms and conditions stipulated, incorporated or referred to by the Buyer in his negotiations or order for goods.

Interpretation
The ‘Buyer’ means the person who accepts a quotation from the Seller for the saleof goods or whose orderfor goods is accepted by the Seller.
The ‘Seller’ means the Vinyl Corporation (Decalkraft Signs) Ltd.
The ‘Goods’ means the Goods which the Seller is to supply in accordance with these terms and conditions.
The ‘Contract’ means the Contract for the purchase and sale of goods.

Delivery
All goods are dispatched on a next day delivery service provided by a parcel carrier of the Sellers choice. Failure on the part of the Sellers to deliver within the time stated in the Contract shall not entitle the Buyer to any claim upon the Sellers by such failure.
The Sellers cannot accept any cancellation if the Goods are in course of conversion or transit.

Warranties and Liabilities
Any claim by the Buyer that the Goods are not in accordance to the specification is limited to the replacement of the Goods supplied.
The Sellers cannot guarantee the suitability of the Goods for any purpose other than specified. The Sellers decision on all matters relating to settlement of claims shall be final and he, the Seller, may, at his option either replace any Goods which he finds faulty or credit reasonable sum not exceeding in any event the invoice value of the faulty Goods.

Ownership
The Seller shall retain full right of ownership of all goods until payment is received in full. If the Buyer makes default in any payment or becomes insolvent or as a debtor to the operation of the bankruptcy law, the Seller may at his option, without notice to the Buyer withhold or cancel further deliveries and retake possession of any Goods of which remains with the Seller.

Payment
The Sellers terms are strictly C.O.D. unless authorised in writing, then the Sellers terms are strictly 30 days net and payable the month following delivery. VAT is charged at the current rate on all Goods supplied in the United Kingdom.
